The agreement
Terms of Service
The Ringlio Brief · Ringlio AI · Perth, Western Australia
These terms govern your use of The Brief, provided by Ringlio AI (Ringlio AI Pty Ltd, ACN 698 318 393, ABN 28 698 318 393) (“Ringlio”, “we”, “us”). By placing an order, signing an order form, or using the service, you (“you”, “the Client”) agree to them.
A signed order form or addendum prevails to the extent of an inconsistency with these terms.
§ 01The service
The Brief is a hosted service in which we build and operate, on your behalf, a typeset answering page ("your Brief"). It is configured to compose answers using the documents you provide, subject to the AI limitations in §03, presents them on your brand and domain, and can capture interest from visitors who choose to register it. We provide the initial setup and ongoing hosting, updates and support described in your order form or our written confirmation to you (including by email).
§ 02Your content
- You own your documents and all content you provide. You grant us a non-exclusive licence to store and process them to provide the service to you and to create the anonymised Usage Data permitted by §09.
- You confirm you have the right to give us that content, and that it does not infringe anyone’s rights or breach any law.
- You are responsible for the accuracy and currency of your documents. Inaccurate or outdated documents may cause inaccurate answers; accurate documents do not guarantee error-free AI answers.
§ 03The AI — what it does and doesn’t do
This clause matters, so it is stated plainly:
- Answers are generated by AI using your supplied documents. The system is designed to use and cite those documents and to decline questions they do not cover, but it may produce incorrect, incomplete, outdated or unsupported answers or citations.
- Answers are informational. They are not professional, legal, medical, financial or other regulated advice, and they are not a substitute for it. Where your business operates in a regulated field, you are responsible for reviewing and approving answers and for any disclaimers your industry requires.
- While we work hard to keep it grounded and accurate, we cannot guarantee answers are always complete or error-free. You are responsible for reviewing the configured answers before and while they are live, independently checking material information before relying on or acting on an answer, and promptly reporting errors to us. An AI answer alone is not Ringlio's approval of a price, representation or commitment on your behalf.
§ 04Fees & payment
- Fees are a one-off setup fee and a recurring monthly fee, as set out in your order form or as quoted. All amounts are in Australian dollars (AUD), unless your order form, quote or checkout shows your fees in another currency, in which case they are charged in that currency.
- GST: Ringlio is not currently registered for GST, so no GST is charged on these fees. If we become registered, GST may be added to future fees on notice.
- Monthly fees are billed in advance via our payment processor (Stripe) and recur until cancelled. The setup fee is payable before work begins unless agreed otherwise.
- If a payment fails, we may retry it and, after reasonable notice, pause your Brief until the account is settled.
§ 05Term, cancellation & suspension
- The subscription is month-to-month. You may cancel at any time, effective at the end of the current paid month; fees already paid are not refunded except where required by law or expressly offered.
- The setup fee is non-refundable once setup work has begun.
- We may suspend or terminate the service for non-payment, misuse, or breach of these terms, giving reasonable notice where practical.
§ 06Our intellectual property
The Brief platform — our software, design, templates, prompts and systems — remains our property. Nothing in these terms transfers our IP to you. You receive a right to use the service for the duration of your subscription. The output pages generated for your business from your content are yours to use.
§ 07Acceptable use
You agree not to use the service unlawfully, to upload content you have no right to, to attempt to break, overload or reverse-engineer the platform, or to use it to mislead or harm others.
§ 08Availability & support
We aim to keep the service available and reliable and to respond to support requests promptly (we aim for a same-day reply, Perth time, where practicable). At this stage we do not offer a formal uptime guarantee (SLA); we will tell you about planned maintenance where we can and work quickly to resolve any outage.
§ 09Privacy & data
Our handling of personal information is described in our Privacy Policy, and where your data is stored is described in Where your data lives. For visitor data captured through your Brief, you are the business deciding what is collected; we process it on your behalf to deliver the service and may lawfully process it to create Usage Data as described below. You are responsible for the notices and permissions legally required for the information you provide or collect through your Brief. We remain responsible for complying with the law in our own processing; accepting these terms is not consent on a visitor's behalf.
Anonymised Usage Data. "Usage Data" means aggregated, anonymised statistics, metrics and derived insights created from use of the service across clients, brands and sites. It excludes source documents, raw questions and answers, lead records, personal information and client confidential information. It must not identify, or reasonably enable identification of, an individual, client or brand, including when combined with other information reasonably available in the intended use or disclosure context. Removing names or hashing identifiers alone is not sufficient.
Subject to those limits and applicable law, you authorise us to create Usage Data. As between you and Ringlio, Ringlio owns Usage Data and any intellectual property rights in it; you assign to Ringlio any such rights you hold and can lawfully assign. We may combine Usage Data across clients, retain it after a subscription ends, and use, reproduce, publish, license, sell or otherwise commercialise it for service improvement, research, analytics and benchmarking, without further client approval or payment. This does not transfer your source content or authorise AI-model training.
We will use reasonable safeguards against re-identification, will not attempt or authorise re-identification, and will prohibit it in licences to recipients. If data no longer meets the definition above, we will stop using or disclosing it as Usage Data and further anonymise or delete it. These rights apply only to data lawfully collected and processed under the applicable notices, permissions and accepted terms.
Two commitments we make to every client:
- If we become aware of a data breach affecting your documents or your visitors’ information, we will notify you without undue delay, tell you what we know, and keep you informed as we contain and resolve it.
- The providers (sub-processors) we rely on to run the service are listed in Where your data lives. We will give you prior written notice before adding or replacing a provider that will process your data; if you reasonably object on data-protection grounds, you may cancel under § 05 before the change takes effect.
§ 10Consumer guarantees & liability
Nothing in these terms excludes, restricts or modifies any right, guarantee, remedy or liability under the Australian Consumer Law (ACL) or other law that cannot lawfully be excluded or limited. Those rights prevail over anything inconsistent here. The exclusions and cap below do not apply to our fraud or wilful misconduct, or to refunds or credits we are legally or expressly contractually required to provide.
Subject to that, and to the extent permitted by law:
- The service is provided “as is”, and we exclude other implied warranties.
- We are not liable for indirect or consequential loss, or lost profits or revenue. We are not liable for loss from inaccurate client documents, errors or omissions in AI-generated Brief outputs, or use of or reliance on those outputs, except to the extent caused by our breach of these terms or negligence. Any liability that remains is subject to the cap below and the rights and exceptions above.
- Our total aggregate liability for all claims attributable to a Contract Year is limited to the fees paid or payable to us for services in that Contract Year, including any setup fee in that year. A Contract Year is each successive 12-month period beginning when we first start providing services under these terms. The cap applies once across all orders, Briefs, brands and sites of the Client, and all bases of claim, including contract, negligence and statute. Claims from the same or related events are allocated to the Contract Year in which the first such event occurred, including claims made after termination. Events first occurring after termination are allocated to the final Contract Year.
Where the ACL permits liability for breach of a consumer guarantee for services not ordinarily acquired for personal, domestic or household use to be limited, and it is fair and reasonable to do so, our liability for that breach is limited, at our option, to supplying the services again or paying the cost of having them supplied again. This does not limit rights or remedies where such a limitation is not permitted.
§ 11Indemnity
You agree to indemnify us for third-party claims and reasonable defence costs to the extent caused by content you provide that infringes a third party's rights or breaches a law, or your use of the service in breach of these terms. This does not apply to the extent caused by our breach of these terms, negligence, fraud or wilful misconduct.
§ 12What happens on termination
When the subscription ends, your Brief is taken offline. On request we will provide a copy of your content and the registered-interest records collected for you, and then delete your data within a reasonable period, subject to any legal retention duty.
We may retain Usage Data after termination only while it meets the requirements of §09; this does not extend retention of the underlying source documents or personal information.
§ 13Governing law
These terms are governed by the laws of Western Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Western Australia. We’ll always try to resolve any dispute with a conversation first.
§ 14Changes to these terms
We may update these terms as the service evolves. We will post a dated version and state when it applies. For a material change, we will notify clients directly at least 14 days before the proposed effective date, and if the change disadvantages you, you may cancel under §05 before that date. Changes expanding our Usage Data rights or liability exclusions require your express acceptance and apply only prospectively; your previously accepted terms continue for those matters until you accept. Other changes may be accepted by continued use after their notified effective date, subject to applicable law. Changes do not retrospectively alter accrued rights or authorise earlier processing.
